Terms & Conditions
Effective date: 5 November 2026
These terms set the conditions for using WHATCOM, connecting a Shopify store, authorising staff, managing subscriptions and using the Chrome extension with WhatsApp Web.
1. Agreement and acceptance
These Terms & Conditions govern access to and use of WHATCOM, including the WHATCOM website, merchant dashboard, Chrome extension and related Shopify order-management features (the “Service”). The Service is operated under the OREXOR brand. By creating an account, connecting a Shopify store, installing or using the extension, or allowing your staff to use the Service, you agree to these Terms. If you do not agree, do not create an account or use the Service.
2. Business use and authority
WHATCOM is intended for business use by merchants and their authorised personnel. You confirm that you are at least 18 years old, have authority to accept these Terms for yourself or the business you represent, and have authority to connect the relevant Shopify store and permit the users you enrol to access it. If you accept on behalf of a business, “you” includes that business.
3. Accounts, owners and staff
- The merchant owner is responsible for the account, its business contact details, the selection of staff members and the access roles assigned to them.
- Each person must use their own login. Do not share passwords or allow unauthorised persons to use an account.
- The owner is responsible for activity carried out through the merchant account and must promptly disable staff access when it is no longer required.
- WHATCOM may enforce one active Chrome extension session per user. Dashboard and extension sessions may be managed separately.
- You must keep login details secure, use strong passwords, notify us promptly of suspected compromise, and cooperate with reasonable security checks.
- We may suspend or revoke access where an account is compromised, misused, inactive in a way that creates a security risk, or used in breach of these Terms.
4. Licence to use WHATCOM
Subject to these Terms and an active trial or paid entitlement, OREXOR grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal business operations. You may not resell, sublicense, distribute, copy, modify, adapt, reverse engineer, decompile, attempt to extract source code, interfere with security controls, or create derivative works from the Service except to the extent that applicable law does not permit such restriction.
All rights in the WHATCOM name, branding, software, interface, documentation and related materials remain with OREXOR or its licensors. No ownership rights are transferred to you. You retain ownership of information and content you submit or make available through the Service, subject to the limited processing permission in these Terms and the Privacy Policy.
5. Shopify connection and merchant authorisation
The merchant owner is responsible for creating and installing the relevant Shopify app in the merchant's own Shopify organisation, supplying valid app credentials, selecting the correct store and granting the permissions required for the features the merchant wants to use. You authorise WHATCOM to connect to that store and retrieve or update Shopify information within the permissions granted and the instructions of authorised users.
You must only connect a store that you own or are authorised to administer. You must not connect another person's store without permission. You are responsible for maintaining the Shopify app, credentials, scopes and store access. If you no longer want WHATCOM to access the store, disconnect it from the dashboard and revoke or remove the relevant Shopify app permissions in Shopify.
Shopify controls its platform, API, permissions, availability and data. Shopify may change or withdraw functionality, scopes or API behaviour. WHATCOM cannot guarantee that every Shopify operation will remain available or that every order will be eligible for every action.
6. WhatsApp Web and Chrome extension
The Chrome extension operates within WhatsApp Web to display Shopify order information and related controls. It may read information visible in the currently open conversation, including the customer phone number or name and the most recent visible message preview, to support customer matching and the local recent-message feature. Under the current design, message preview text is stored locally in the Chrome profile and is not uploaded to WHATCOM's servers. Phone numbers, email addresses, order identifiers and other information needed to search Shopify or perform an authorised action may be transmitted securely to WHATCOM and Shopify.
WHATCOM does not send WhatsApp messages on your behalf and is not an official WhatsApp, Meta, Shopify or Google product. Those third parties are independent services and their own terms, privacy policies, availability and technical changes apply. You are responsible for complying with their terms and policies, including any restrictions on account use, automation, data access and customer communications.
7. Customer data and your responsibilities
You are responsible for ensuring that you have the legal authority and lawful basis to access, use and share personal data belonging to your customers and staff through WHATCOM. You must provide any privacy notices, obtain any required permissions or consents, respond to data-subject requests, maintain appropriate records, and ensure that your staff use customer data only for legitimate business purposes. You must not use WHATCOM to access, disclose or change data without authorisation.
For customer data retrieved from your Shopify store, you remain responsible for the purposes and means of processing. OREXOR processes that data only to provide and secure the Service, in accordance with your authorised use and the Privacy Policy. If a separate data-processing agreement is required by applicable law or your organisation, contact us before using the Service for that processing.
8. Plans, trials and payments
- Plans, prices, staff allowances and included features are displayed on the website or in the merchant dashboard. The price and plan selected at registration or renewal apply to the relevant subscription period.
- Paid access is generally supplied in 30-day periods. The current payment process is manual; WHATCOM does not automatically debit a card or bank account. You must follow the payment instructions shown in the dashboard and provide a payment reference where requested.
- OREXOR may verify a payment before approving or extending access. Submitting a payment reference does not itself activate a subscription.
- An eligible seven-day trial begins only after the first eligible Shopify store is successfully connected. Registration alone does not start the trial. Trial availability is limited to one trial per eligible merchant and Shopify store; a previous trial or connection may make an account ineligible.
- When a trial or paid period expires without a valid extension, access to paid features may be suspended or restricted until entitlement is restored.
- Unless applicable law requires otherwise, fees for a subscription period that has started are non-refundable and unused time is not refundable. Duplicate or mistaken payments will be reviewed if you contact us with supporting details.
- You are responsible for bank charges, currency conversion costs and taxes that apply to your purchase, except for taxes that OREXOR is legally required to pay itself.
- We may change plan features or prices. A price change will apply to a future purchase or renewal after reasonable notice; it will not retrospectively change a period already paid for.
9. Acceptable use
You must not, and must not allow another person to:
- use the Service for an unlawful purpose, to infringe another person's rights, or to process customer data without authority;
- attempt to access another merchant's account, Shopify store, data or sessions;
- share, sell, rent or transfer logins, tokens or access rights;
- probe, scan, attack, disrupt, overload or bypass the Service or its security, authentication, subscription or permission controls;
- reverse engineer, scrape, copy or systematically extract the Service or its data except as expressly permitted;
- upload malware, harmful code or content that interferes with the Service;
- use the Service to send spam, conduct fraud, harass customers, or breach Shopify, WhatsApp, Meta, Chrome Web Store or other third-party rules.
10. Service availability and third-party dependencies
We will use reasonable efforts to keep WHATCOM operational, but the Service is provided on an as-available basis and may be unavailable or limited due to maintenance, security incidents, internet or hosting issues, Shopify or WhatsApp changes, third-party outages, or events outside our reasonable control. We may update, suspend, replace or discontinue a feature where reasonably necessary for security, legal, operational or commercial reasons. No service level or uninterrupted availability is promised unless we separately agree to it in writing.
WHATCOM displays information received from Shopify and relies on the accuracy, completeness and availability of Shopify's systems. You must verify customer identity, order details and the consequences of an action before changing an address, fulfilment hold, order tag or other order information. You remain responsible for the business decisions and actions you take.
11. Suspension and termination
You may stop using the Service at any time. The merchant owner may request account closure by contacting OREXOR. We may suspend, restrict or terminate access immediately where reasonably necessary to protect the Service or users, respond to a security incident, prevent fraud or unlawful activity, enforce these Terms, comply with law, address non-payment or respond to a third-party platform restriction. Where practical and lawful, we will give notice and an opportunity to remedy the issue.
On termination, your licence to use WHATCOM ends and you must stop using the Service. We may retain limited account, payment, audit, security and trial-history information for the purposes described in the Privacy Policy. Termination does not remove amounts already due or provisions that by their nature should continue, including intellectual property, confidentiality, indemnity, liability, governing law and dispute provisions.
12. Disclaimers
To the maximum extent permitted by law, WHATCOM is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, compatible with every browser or Shopify configuration, or that data returned by Shopify will always be complete or current. We do not warrant that a third-party platform will maintain any API, permission or integration. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by applicable law, OREXOR will not be liable for indirect, incidental, special, exemplary or consequential loss, loss of profits, revenue, anticipated savings, goodwill, business opportunity, business interruption, or loss or corruption of data arising from use of or inability to use the Service, including where caused by a third-party platform or a user's own action.
To the maximum extent permitted by law, OREXOR's total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the fees paid or payable by you to OREXOR for the Service during the three months immediately before the event giving rise to the claim, or (b) USD 100. This limit does not apply to liability that cannot legally be limited or excluded, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold OREXOR and its personnel harmless against third-party claims, losses, liabilities, damages and reasonable costs arising from your unlawful or unauthorised use of the Service, your breach of these Terms, your infringement of another person's rights, or your failure to comply with data-protection or third-party platform obligations. This does not apply to the extent a claim is caused by OREXOR's own breach of these Terms or unlawful conduct.
15. Changes to these Terms
We may update these Terms to reflect changes in the Service, our business or applicable law. The current version will be published at this URL with an updated effective date. Where a change materially affects existing users, we will provide reasonable notice through the Service or by email where appropriate. Continued use after the effective date of an update constitutes acceptance of the revised Terms, except where applicable law requires a different form of consent.
16. Governing law and disputes
These Terms are governed by the laws of Pakistan, subject to any mandatory laws that apply to you and cannot lawfully be excluded. The competent courts in Pakistan will have jurisdiction over disputes arising out of or in connection with these Terms. Before starting court proceedings, the parties should first attempt in good faith to resolve the issue by contacting OREXOR at the details below, except where urgent relief or a legal deadline makes that impractical.
17. General provisions
If any provision is held unenforceable, the remaining provisions will continue in effect. A failure or delay in enforcing a right is not a waiver of that right. You may not assign or transfer your account or rights under these Terms without our prior written consent. We may assign these Terms as part of a restructuring, merger or transfer of the relevant business, provided the transfer does not remove rights that cannot lawfully be removed. These Terms, together with the Privacy Policy and any separate written agreement between you and OREXOR, form the agreement governing your use of WHATCOM. Nothing here creates a partnership, employment or agency relationship.
18. Contact
For support, legal notices or questions about these Terms, contact OREXOR through WhatsApp at +92 311 3871524.
